Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. 

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Service. These policies may be updated from time to time, and you agree to be bound by any updates and modifications. The Services are available only to individuals who have the capacity to form legally binding contracts under the law applicable to these Terms. Furthermore, the Services are unavailable to minors (under 18 years of age). If you do not qualify as an authorized user, you are not permitted to use the Services, and no contract will be formed between you and us.

License and Site Access We grant you a limited license to access and make business use of our website and the Services upon payment of the prevailing fees we set from time to time. This license does not include the right to download any material (other than routine page caching) or modify any material, or any portion thereof, without our express written consent. This license excludes the download or collection of logos, product descriptions, pricing, text, graphics, audio and video clips, and/or copying account information. This website or any portion of this website may not be reproduced, duplicated, copied, sold, visited, or otherwise exploited for any commercial purpose without our express written permission. You are prohibited from using meta tags or any other hidden text utilizing our name or trademarks without our express written consent. Any unauthorized use of the Services voids the limited license granted by the company.

1. We may refuse accounts or cancel accounts, in our sole discretion, and may do so with or without cause. In particular and without limitation, if you provide email addresses generating an excessive number of spam complaints, your account may be canceled. Any person using any TRO email function is solely responsible for the content of any communication and compliance with all laws concerning unsolicited email and privacy. Email functions may only be made to those with whom you have a pre-existing business relationship and may not be used to solicit business from parties with whom you do not have a pre-existing business relationship. You agree to indemnify TRO from all claims arising from the use of any email functions initiated by you.

2. Any service, function or application, as well as any content offered by Us may be terminated without notice or cause and without partial refund. In the event of any partial termination of Services the sole remedy shall be a refund of any monies paid in advance by You for Services not yet rendered in the sole discretion of TRO. There will be no refunds for annual accounts.

3. Your use of the Content and Services is strictly contingent on an ongoing subscription. In the event of termination of the license by either party you agree to cease use of all Services including all content and applications. Refunds due to termination are subject to our sole discretion. There is no refund for annual accounts. Terminations must be requested in writing by email addressed to agentsupport@voyagertravelguides.com. You agree not to invoke credit card chargebacks but to initiate cancelations in writing by email. You also agree to jurisdiction in small claims court in Leon County, Florida for your failure to abide by proper cancelation procedures.

4. You agree to use the Company Services only for legal and legitimate purposes and for no purpose deemed inappropriate, sexual in nature or suggesting or promoting illegal activity. You will only post content to which you have a legal right to publish and which does not infringe on the copyright of any third party.

5. You agree you have read and understand these Terms and Conditions as well as any FAQs and other information contained on this website and you agree to the services TRO provides herein in the manner provided.

6. Each subscription provides for the Services to be used for a single website and associated social media accounts. The Services and the Content in those services may not be used on multiple websites.

Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Your Content"). You are responsible for the Content that you post using Service, including its legality, reliability, and appropriateness.

For any Content you generate and post to the Service, you represent and warrant that: (i) Your Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Compliance with all State and Federal laws regarding seller of travel, website and Americans With Disability Act rules and regulations is your responsibility and you agree to hold harmless Travel Research Online and its affiliates.

Accounts

When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. You agree to register under your own legal name and not to falsify your identity. Failure to conduct yourself in this manner constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You are responsible for creating a password of complexity sufficient to avoid easy deduction or estimation of your login credentials.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any security breach or unauthorized use of your account.

You may not use as a username the name of another person or entity, or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Use of Artificial Intelligence Systems- Many of our programs include generative AI capabilities (“AI”). While we have safeguards in place, the AI system may occasionally generate incorrect or misleading information and produce offensive or biased content. It is not intended to give advice.

- AI may occasionally generate incorrect information. Fact- check any output. This is your responsibility

- It may occasionally produce harmful instructions or biased content

- It has a limited knowledge of world and events after  April 2023. As an AI language model, many artificial intelligence systems have been designed to provide helpful and informative responses on a wide range of topics, while also adhering to ethical and legal standards. It is important for you to understand and take responsibility for the following:

·        Illegal Activities: The AI System should not be used to engage in discussions about or promote any illegal activities, including but not limited to drug use, hacking, or terrorism.

·        Hate Speech: The AI System should not be used in or promote any form of hate speech or discrimination against individuals or groups based on their race, ethnicity, gender, religion, sexual orientation, or any other characteristic.

·        Sexual Content: The AI System should not be used to engage in discussions about sexually explicit or inappropriate content.

·        Cyberbullying: The AI System should not be used to engage in any form of cyberbullying or harassment,

·        Malicious Intent: The AI System should not be used for any malicious or harmful purposes, including but not limited to spreading viruses or malware, phishing, or other forms of cybercrime.

·        Personal Information: The AI System will not be used to solicit or collect personal information from users, including their names, addresses, phone numbers, or any other sensitive information. 

Overall, The AI System is designed to be a helpful and informative tool for users, but it is important to use it responsibly and ethically and you agree to do so.

We recommend placing the following language in your website’s terms and conditions: “This site and staff may on occasion use systems and language partially generated with Artificial Intelligence large-scale language-generation models. Upon generating draft language, the author reviewed, edited, and revised the language to their own liking and takes ultimate responsibility for the content of this publication. “

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Travel Research Online, LLC. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Travel Research Online, LLC. Information regarding your account may be shared with third parties in order to assist you to facilitate your use and maintenance of the site. You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us. More specifically, unless explicitly authorized in these Terms of Service or the manner of our presentment of the Content produced by Us, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Site.

You further agree to the following, specifically in relation to our implementation and provision of AI:

Introduction. TRO will provide You with a “software as a service” with the use and access to software which, together with the support services provided by TRO, constitute the “Service.” The term “Software” means TRO’s proprietary artificial intelligence software identified in Exhibit A and made available to You and persons or entities associated with You, hereinafter referred to as “Your Affiliates,” which shall include only those persons who are: (i) Your employees and, (ii) independent contractors hereinafter referred to as “Authorized Users.”

2. Service. (a) TRO will provide the Service to Authorized Users during the term of this Agreement as set forth below. You and Your Affiliates may use and access the Service and Software solely through one or more TRO designated websites (“Sites”). Your rights to use the Service are non-exclusive and non-transferable. You agree to comply with all applicable federal, state, local, and foreign laws, rules, and regulations concerning its use of the Service and to not use the Service in support of any criminal, fraudulent, or illegal endeavors.

(b) TRO will strive to ensure that the Service is accessible 24 hours a day, 7 days a week, 365 days a year, to the best of its commercial abilities. This commitment excludes periods of downtime for maintenance, as outlined in Section 3 below.

(c) TRO may, in its sole discretion, make any changes to the Software that it deems necessary or useful to:

1.      Maintain or enhance (i) the quality or delivery of the Software or Services, (ii) the competitive strength of, or market for, TRO’s products or services, (iii) the Software’s cost efficiency or performance, or

2.      To comply with applicable law.

(e) TRO will not be obligated to provide any Services not set forth in this Agreement, an Exhibit, or Schedule. However, upon agreement in writing in any Exhibit or Schedule to this Agreement, a separate Work Order, or other such writing approved by You, TRO shall provide additional services (“Additional Services”) at TRO’s then-current rates.

3. Support and Maintenance. (a) TRO will provide general advice and training on the operation and use of the Service to You and Your Affiliates (Training) and assistance with suspected failures of the Service to operate Correctly (“Errors”) reported to TRO. If a reported issue results in the Service or a significant portion of it becoming non-functional, or if this issue significantly impairs Your ability to use the Service, TRO will make reasonable commercial efforts to fix the issue promptly or offer an alternative solution. However, it should be noted that TRO cannot guarantee that every Error will be resolved or addressed.

(b) You acknowledge that the Services largely function through the availability of certain services provided by artificial intelligence models such as those provided by OpenAI, Anthropic, and other purveyors of artificial intelligence large language models (AI Providers). The availability of the services of the AI Providers, at any given time, may not be available. TRO is not responsible for the availability of any AI Providers’ services but will use commercially reasonable efforts to provide alternatives should any given service be temporarily down or unavailable.

(c) You acknowledge that TRO cannot be held responsible for AI Providers' breaches. Further, You acknowledge that information from any AI Provider may be, at times, inaccurate and requires fact-checking by the Authorized User and that an AI Provider may produce inaccurate information about people, places, or facts. You acknowledge that Authorized Users must bring their own critical faculties to bear on any information received from any AI Provider. TRO bears no responsibility or liability for (i) the functionality or performance of AI Providers, including their content, precision, accuracy, or dependability, or (ii) the actions and omissions (including in regard to privacy practices) of the suppliers of AI Providers. TRO reserves the right to terminate any AI Provider at its discretion.

(d) Support will be provided in English only.

4. Your Responsibilities. (a) All user data shared with TRO by Authorized Users, whether for the purpose of acquiring a username and password or any other reason, must be accurate. Each Authorized User is accountable for preserving the secrecy of their own username and password. Simultaneous access to the Service with the same username and password is only permitted for one individual. You commit to promptly informing TRO of any confirmed or suspected unauthorized utilization of Your or Your Affiliates' email address, username, password, or any suspected security breach related to the Service that becomes known to You.

(b) You commit to promptly inform TRO if you become aware of any actual or suspected violations of this Agreement or the Terms and Conditions by Your Affiliates.

(c) You recognize that Authorized Users may occasionally input their own information into the Service, referred to as "Client Data." It is important to note that TRO neither has the obligation nor the intention to actively examine or oversee any Client Data. The You acknowledges and accepts that TRO is not responsible for any loss or destruction of Client Data that may occur while You or i Authorized Users access or utilize the Service, and TRO bears no liability in this regard.

(d) You acknowledge the effective utilization of the Service relies on the correct implementation of procedures and systems by Authorized Users. Authorized Users bear exclusive responsibility for their choices when employing the Service and recognize and consent that the Service serves exclusively as a tool to supplement sound and sensible business judgment by capable personnel.

5. Intellectual Property. (a) You acknowledge that TRO and its third-party licensors possess all rights, including copyright, patents, trade secrets, and all other forms of intellectual property rights, (i) pertaining to the Service, the Software, and the Sites. Any suggestions, concepts, enhancement requests, recommendations, or other input provided by You or Authorized Users concerning the Service, Software, or Sites, are the property of TRO without requiring additional compensation. TRO retains all rights to the Service and Software that are not explicitly granted in this agreement.

(b) All Client Data shall remain the exclusive property of its owner, and all materials generated by an individual Authorized User (Generated Output) using the services of AI Providers shall be the property of the individual Authorized User, and TRO grants all rights possessed by TRO, if any, in such Generated Output to the individual Authorized User.

(c) Customer will not, nor permit or encourage any third party to, directly or indirectly: i. Reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, object code or underlying structure, ideas, know-how, or algorithms relevant to the Software);

ii. Make available the Software for timesharing or service bureau purposes or other computer service to a third party; iv. Modify, remove or obstruct any proprietary notices or labels.

(d) You hereby grant to TRO, during the Agreement Term, an irrevocable, royalty-free right and license to use for the purposes specified in this Agreement all Client Data and other materials, software, and data provided by You to TRO in connection with this Agreement.

(e) In the event that a third-party initiates legal action, a lawsuit, or a proceeding against You, alleging that the Service violates any valid third-party copyrights or patents within the United States or unlawfully appropriates a third party's trade secrets or if an injunction or court order is issued against the Service's use due to such infringement claims, or if there is a likelihood that the Service may become subject to such an injunction or order, TRO retains the exclusive right, at its sole discretion and expense, to: (i) modify or replace the Service so that it no longer infringes, while maintaining substantially similar functionality to the original Service; (ii) secure the necessary rights to continue offering the Service; or (iii) if options (i) and (ii) are commercially unfeasible, terminate the infringing Service and refund the You the prepaid fees for the Service, proportionally adjusted to reflect prior usage of the Service. This is provided that (i) You promptly notify TRO in writing of the claim, (ii) TRO retains full control over the defense and any related settlement negotiations, and (iii) You provide TRO with all commercially reasonable assistance, information, and authorization required for TRO to carry out the aforementioned actions at its expense. The aforementioned indemnification does not apply if the alleged infringement results from (i) the combination of the Service with products not supplied by TRO, where the alleged infringement would not have occurred without such combination, (ii) modifications or alterations to the Service made by any entity other than TRO, or (iii) the use of the Service beyond the scope defined in this Agreement.

If you believe work in which you hold an intellectual property right is infringed upon by Travel Research Online, LLC. please provide Travel Research Online, LLC.’s agent for copyright with the following:

- A description of the copyrighted work on which you claim infringement;

- A signature of a person authorized to act on your behalf; - A description and location of the material on which you claim infringement; - Your physical address, email address, and telephone number; - A statement by you of a good faith belief the material on which you claim infringement is being used without your authorization and in violation of copyright law; - A statement by you or your agent made under penalty of perjury that the information in your notice is accurate and you are the copyright owner.

In the event you fail to pay any subscription fee or in the event you charge back any subscription fee and We take legal action, you agree to pay all legal fees should we successfully prosecute a claim for such subscription fees.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

 

Indemnification

You agree to defend, indemnify and hold harmless Travel Research Online, LLC. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms or c) your use of any third party services or sites whether or not referred to or recommended by Travel Research Online, LLC.
